Payvex is operated by Stravn Limited, a company registered in Nigeria ("Payvex", "we", "us"). These terms are an agreement between Stravn Limited and you, the business or person using Payvex ("you", "the merchant").
By creating an account you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it. If you do not accept, do not use Payvex.
Payvex is invoicing and bookkeeping software. It creates invoices, renders them as PDFs, issues payment links, records payments, tracks withholding tax and reconciles bank statements you upload.
Payvex is not a bank, and Payvex does not hold your money. Card and transfer payments are processed by the Gateway and settle from the Gateway into the bank account you register. Funds do not pass through an account controlled by Payvex at any point. We are not a deposit taker, a money transmitter or an escrow agent, and nothing in the Service should be read as a promise to hold, safeguard or return funds.
Payvex does not provide legal, tax or accounting advice. Calculations the Service performs, including VAT and withholding tax, are conveniences based on what you enter, and remain your responsibility to check.
You must be at least 18 and legally able to enter contracts. Accounts are for business use; Payvex is built for businesses invoicing in Nigeria.
You are responsible for everything done under your account, for keeping your sign-in credentials secure, and for the people you invite into your Organization. Team members act with the role you grant them, and you are responsible for what they do. Tell us promptly if you believe your account has been accessed without your authority.
You must give accurate registration and payout details. We may verify your business details, and the Gateway may require its own verification before settling funds to you.
Payvex offers a free plan and paid plans. Current prices and what each plan includes are shown on our pricing page and in your billing settings. Prices are in naira and exclusive of any taxes that may apply.
Paid plans are billed in advance, monthly or annually, and renew automatically for the same period until cancelled. Renewal is charged to the card you authorised at checkout, through the Gateway. Payvex stores a payment authorisation reference for this purpose; it never stores your full card details.
You may cancel at any time from billing settings. Cancellation stops future renewals and your paid features continue until the end of the period you have already paid for. We do not pro-rate or refund part-used periods.
Refunds. Subscription payments are non-refundable except where a refund is required by law, or where we have charged you in error. If you believe you have been charged in error, contact us within 30 days and we will investigate.
We may change prices. Existing subscribers keep their current price until the end of the period they have paid for, and we will give notice before a new price applies to a renewal. Where a rate has been granted to you as a founding rate, it continues for as long as your subscription runs without lapsing.
If a renewal payment fails we may retry it and may suspend paid features until payment succeeds. Your data is not deleted because of a failed payment.
Separately from any subscription, Payvex charges a platform fee of 1.5% of each payment collected through the Service, capped at ₦5,000 per invoice in total across every payment made against that invoice.
The fee is applied at settlement, as a split performed by the Gateway: the Gateway deducts it before the balance settles to your bank account. It is taken from what you receive and is not added to what your client is asked to pay, unless you have explicitly enabled pass-through in your settings.
This fee is ours and is distinct from the Gateway's own processing charges. Where a gateway charge of about 1.5% plus a flat amount is added to a payment, that is the Gateway's pricing, is shown to the payer separately at checkout, and is not retained by Payvex.
We will give notice before changing the fee rate or the cap. Continuing to collect payments through the Service after a change takes effect is acceptance of it.

Your invoices, client records and business information remain yours. You grant us the limited licence needed to host, process, transmit, back up and display that content in order to operate the Service for you.
You can export your data at any time from the Service. If you close your account we retain records for the periods described in section 11.
Payvex is built on services operated by other companies. Using Payvex means your data is processed by them for the purposes below, and their own terms and privacy policies apply to that processing:
We choose these providers carefully but we do not control them, and we are not liable for their acts or omissions beyond our own responsibility as their customer. An outage at a provider may interrupt the Service.
We process personal data in line with the Nigeria Data Protection Act and the NDPR. Where you enter your clients' personal data into Payvex, you are the data controller for that data and we process it on your instructions.
What we collect. Account and business details you provide; the invoice, client and payment records you create; authentication metadata; and technical logs including IP address and device information used for security and fault diagnosis.
Why. To provide the Service, to bill you, to secure accounts and detect abuse, to meet legal and financial record-keeping obligations, and to support you when you ask.
Retention. We keep your records for as long as your account is open and afterwards for as long as we are required to for tax, accounting and anti-money-laundering purposes. Technical logs are kept for a short period and security-related fields within them are scrubbed on a rolling basis.
You may request access to, correction of, or deletion of your personal data, subject to records we are required to retain. Contact us at the address in section 17.
We aim to keep Payvex available but we do not promise uninterrupted or error-free operation. We may perform maintenance, and we may add, change or withdraw features. Where a change materially reduces a paid feature you rely on, we will give reasonable notice.
Some features are described in the Service as not yet available. Those are not part of what you are paying for until they are switched on.
To the fullest extent permitted by Nigerian law, the Service is provided "as is". We do not warrant that it will meet your requirements, that its calculations will satisfy any particular authority, that defects will be corrected, or that a payment will be successfully collected or settled.
To the fullest extent permitted by Nigerian law, we are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or loss of data other than our failure to keep the backups we say we keep.
Our total liability to you arising out of or in connection with these terms in any 12-month period is limited to the total subscription fees you paid to Payvex in that period, or twenty thousand naira if you paid nothing.
Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence.
You will indemnify Stravn Limited against claims, losses and reasonable costs arising from your use of the Service in breach of these terms, from invoices you issue, from a dispute with your client, or from a claim that data you entered infringed someone else's rights or was processed unlawfully.
You may stop using Payvex and close your account at any time. We may suspend or terminate an account, with notice where practicable and immediately where not, if we reasonably believe it is being used in breach of section 8, if required by law or by a provider, or if payment for a paid plan remains unmade after we have asked for it.
On termination your right to use the Service ends. Sections that by their nature should survive, including 6, 9, 11, 13, 14, 15 and 18, survive.
Payvex, its name, logo, software, design and documentation belong to Stravn Limited. These terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing, and nothing more.
These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, both sides will first try in good faith to resolve it by discussion within 30 days of written notice. Failing that, the dispute is subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
We may update these terms. The date at the top shows when they last changed. Where a change materially affects your rights we will give notice before it takes effect. Continuing to use Payvex after that is acceptance of the updated terms.
